legal to sell old version

| we are no longer using our copy of SQL Server 2000 Enterprise Edition.
i though i heard/read somewhere that it was LEGAL to sell/transfer the
license 1 time to a new owner. anyone know if that is true. if it is,
what do i need to do on my end? is a simple uninstall all it takes to
make the product "sell-able"?
on that note, any idea if the case is the same for windows server 2003
and active directory 2003?
